Terms of Service ("Terms") constitute a legally binding agreement between you and us. These Terms govern your access to the Robovolts mobile and web application (the "Platform") and your purchase, lease, or use of Robovolts-branded hardware, including solar-powered generators, modular batteries, and integration hardware.

1. Introduction and Acceptance

Welcome to Robovolts, a product and technology platform designed, owned, and operated by Robovolts Energy Nigeria Limited (collectively referred to as "we," "us," or "our").

By downloading the app, purchasing Hardware, creating an account, or using the Platform, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Platform Status and Ecosystem Roles

Robovolts provides a dynamic energy ecosystem catering to different user roles:

• Buyers: Individuals or entities who purchase Robovolts generators for private use.
• Custodians (Hub Operators): Buyers who choose to operate their generators as public or semi-public "Battery Hubs," charging modular batteries and making them available for rent via the Platform.
• Renters: Individuals who use the Platform to locate, rent, and return modular batteries, and who may purchase supplementary integration hardware to utilize these batteries at their premises.

3. Hardware Sales, Hire Purchase, and Ownership

• 3.1 Direct Purchases: Hardware purchased outright from Robovolts Energy Nigeria Limited, or authorized distributors becomes your property upon full payment and delivery, subject to the limited warranties provided at the point of sale.
• 3.2 Hire Purchase and Third-Party Financing: Generators and Hardware may be acquired through a hire purchase or financing agreement facilitated by third-party financial partners ("Financiers").
• 3.3 If you acquire Hardware via financing, you acknowledge that the Financier retains legal title and a security interest in the Hardware until all payment obligations are met.
• 3.4 You may not sell, modify, or permanently relocate financed Hardware without explicit consent from the Financier.
• 3.5 Robovolts reserves the right to digitally lock, disable, or recover financed Hardware and suspend your Robovolts account if we receive notice from the Financier of a default on your payment obligations.

4. Custodian (Battery Hub) Operations

Buyers may opt-in via the Platform to become Custodians and operate a Battery Hub.

• 4.1 Hub Maintenance: Custodians are solely responsible for maintaining their generators in safe, secure, and well-ventilated locations. Custodians must ensure the safe charging of modular batteries according to the provided operating manuals.
• 4.2 Revenue Share: Custodians will earn a predetermined percentage of the rental fees generated by batteries rented from their Hub. We will aggregate these funds in the Custodian's in-app Wallet, subject to standard platform commissions and withdrawal schedules.
• 4.3 Independent Contractor Status: Operating a Hub does not create an employment, franchise, or joint venture relationship with Robovolts. Custodians operate as independent entities.

5. Renter Responsibilities and Integration Hardware

• 5.1 Integration Hardware Purchases: Renters may purchase specific hardware components (e.g., inverters, docking stations, or wiring kits) to interface rented batteries with their home or business infrastructure.
• 5.2 Installation Liability: Robovolts expressly disclaims any liability for property damage, electrical fires, or personal injury arising from the improper installation or misuse of integration hardware. Renters are strictly advised to use certified electricians for any installation requiring integration into existing electrical grids.
• 5.3 Battery Rentals: The rental period begins when a battery is unlocked from a Hub and ends when it is successfully docked and recognized by the Platform at a verified Hub. Renters assume all risk of loss, theft, or physical damage to the battery while it is in their possession.

6. The Robovolts Wallet and Payments

• 6.1 Wallet Operations: The Platform utilizes a digital wallet for processing rental fees, purchasing hardware, and disbursing Custodian earnings.
• 6.2 Authorizations and Penalties: By adding a payment method, you authorize us to charge your account for transactions, late return fees, or the full replacement cost of missing, stolen, or wilfully damaged hardware.

7. Limitation of Liability and Indemnification

• 7.1 "As Is" Provision: While we strive for excellence, the Platform and Hardware are provided on an "as is" and "as available" basis, excluding the explicit limited manufacturing warranty provided with new Hardware purchases.
• 7.2 No Consequential Damages: To the maximum extent permitted by law, Robovolts shall not be liable for indirect, incidental, consequential, or punitive damages — including lost profits, loss of data, business interruption, or physical injury — arising out of your use of the Platform or the Hardware.
• 7.3 Indemnity: You agree to indemnify and hold harmless Robovolts from any claims, damages, or legal fees arising from your breach of these Terms, your improper installation of Hardware, or your violation of third-party financing agreements.

8. Dispute Resolution and Governing Law

• 8.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
• 8.2 Mandatory Internal Resolution: Before escalating any dispute, claim, or controversy arising out of or relating to these Terms, the Hardware, or the Platform, you agree to first attempt to resolve the matter informally. You must provide written notice to us at legal@robovolts.com detailing the nature of the dispute and the specific relief sought. Robovolts will have a period of thirty (30) days from the receipt of your formal notice to investigate and attempt to resolve the dispute through our internal customer and legal escalation procedures.
• 8.3 Arbitration: Any dispute arising from these Terms, including issues regarding hardware warranties or hire purchase enforcement, shall be resolved by binding arbitration under the rules of the Lagos Court of Arbitration.
